TERMS AND CONDITIONS By accessing this website (i.e., MRR or “Site”), by utilizing any of the services or features appearing on this Site as a member user thereof (the “User”, hereinafter identified as “you”) you hereby accept the following terms and conditions. It is your responsibility to keep apprised of any changes in these Terms of Use. 1. Licensure. You are actively licensed as a salesperson or broker for the state or states and service areas listed on your profile. You abide by all local, state and national laws and regulations including equal housing opportunities. 2. Profile. In consideration of use of the Service, you agree that you are more than 18 years of age. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Military Referral Roster has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Military Referral Roster has the right to suspend or terminate your account(s) and refuse any and all current or future use of the Service (or any portion thereof). You further understand that all of your listing information, including, but not limited to, company name, address, contact information (including telephone and fax numbers, e-mail and web addresses, etc.), but excluding login username and password, credit card and certain other information, are all available for public viewing. In addition, we actively promote and encourage the public to come to view these listings. Therefore, you should expect to be contacted by various parties including, but not limited to, parties looking for space, parties with available space, real estate brokers, salespeople and vendors for various types of products and services, etc. By posting a listing on our site, you are giving us permission and agreeing to be contacted by us and by anyone else who may publicly view your listing. You may delete your listing at any time by using your login information and following the online instructions. We do not guarantee the accuracy of the listings or other information appearing on the Site, and such information is subject to errors, omissions, changes in price, prior sales, rentals, and withdrawals without notice. Furthermore, any listing appearing on the Site is for informational purposes only and does not constitute an offer to sell or lease. Information listed by you in the website (with the exception of "Additional Details") is exactly how it will appear in the printed version of the Military Referral Roster. Please verify that all information is correct. 3. Service. You will provide the highest level of customer service and act in the client’s best interest in all transactions. You will contact the client within 24 hours of receiving the referral and maintain regular contact with them until closing/settlement. 4. Generating referrals. All Members agree to send referrals to a Military Referral Roster member whenever and as often as possible. 5. Referral Fees. Military Referral Roster does not set, participate in, negotiate, collect, distribute, or arbitrate referral arrangements or fees between members. All referrals are independently negotiated and initiated between referring and receiving members. All fees shall be set forth in a written agreement. Military Referral Roster has no responsibility for collecting or distributing referral fees. The Referral Form provided by Military Referral Roster is only to be used as an example. Military Referral Roster takes no responsibility for the results caused by use of the form. You agree to hold harmless Military Referral Roster, its agents, associates, employees, and publisher harmless for any use of the Referral Form. All members should use their company’s referral form or consult an attorney. Any referral fees earned shall be paid by the receiving member within seven (7) days of closing the referred transaction. 6. Communication. The receiving Members will maintain communication with the sending Member with updates on the status of the referral including, but not limited to, initial contact, a pending transaction, a listing agreement, the closing/settlement. The sending member will cooperate with the receiving Member as required to assure a successful transaction. 7. Renewal. Your membership with Military Referral Roster will renew automatically on an annually. You will be charged at the rate that you initially signed up; in other words your membership rate will always stay “locked in”. You will maintain a valid and current credit card on file. All sales are final. Subscriptions canceled after renewal date will not be refunded. 8. Disclaimer of Warranties. YOU EXPRESSLY UNDERSTAND AND AGREE THAT: YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MRR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. MRR MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM MRR OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE Terms of Use. 9. Limitation of Liability. YOU EXPRESSLY UNDERSTAND AND AGREE THAT MRR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MRR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE. 10. Exclusions and Limitations. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.
